PURPOSE OF THE DIRECTORS:

1. To lead the members in the ALAE.
2. Manage all ALAE affairs.
3. Assess the level of authority for each Director position and ensure balance between them.
4. Set up ad-hoc committees, if necessary, to do fact-finding, research and supervision of the ALAE members..

ARTICLE 1: MEETINGS

1. The monthly Board meeting will be held on the first Sunday of each month.
2. The monthly general meeting of the ALAE members will be held on the second Sunday of each month.
3. Bi-Annual Meeting -- The bi-annual meeting of ALAE will be held (date to be determined). Business transacted at the bi-annual meeting shall include the financial gains/losses, new business, reports on old business.
4. All meetings will be held in the ALAE headquarters.
5. All members will be notified of the Bi-Annual meeting two weeks prior to the meetings scheduled date by the HO.

ARTICLE 2: OFFICERS

1.The association will have the following Directors:
  • Executive Officer
  • Records Officer
  • Financial Officer
  • Quality Control Officer

2. Additional Directors, if deemed necessary, will be appointed by the Chairman.
3. The Directors can be removed, with or without cause, by the Chairman.
4. Any Director missing 3 consecutive meetings will be replaced by the Chairman.
5. The Board of Directors shall exercise its power and authority to manage the business and affairs of ALAE.
6. Compensation for the Board, if any, will be determined at a later date.
7. All Directors must be members of the ALAE.
8. Directors will be appointed after submitting an application stating their qualifications for such position.
9. All Directors shall encourage ALAE members to discover their creativity in building new areas in Elanthia.
10. All Directors shall work directly with the Chairman (and Viani) to develop policies for the ALAE.

CHAIRMAN: AGM Brauden

1. The Chairman of the ALAE who is present at meetings of the Board of Directors, at which action on any association matter is taken, shall be presumed to have assented to the action taken unless he votes against such action or abstains from voting.
2. The Chairman will have the final vote in all matters concerning ALAE.

EXECUTIVE OFFICER:

1. The Executive Officer (EO) will report directly to the Chairman.
2. The Executive Officer (EO) will oversee all matters of the Association (ALAE), its directors and its members. As this is a key position, the EO must be a model citizen and have a no policy infractions during the past 12 years at the time of application. Any broken policies after induction as EO will be dealt with on an individual basis.
3. The EO will manage the ALAE affairs, provide leadership, motivation and inspiration.
4. The EO will rule over all committees.
5. The EO will preside over and run efficiently, all ALAE meetings. The meetings agenda must be planned in advance. All motions, ideas and suggestions made in and out of chapter meetings should be referred to committees.
6. The EO will appoint all officers and chairmen of non-elected committees (to be created at a later date).
7. The EO will interface with all members.
8. The EO will have one vote on the Board of Directors.

RECORDS OFFICER:

1. The ALAE Historical Officer (RO) will report to the Executive Officer (EO).
2. The RO is the principal correspondent with all parties outside the associations current membership.
3. The RO will maintain logs of all ALAE meetings, edit such logs and furnish all members with a copy within 48 hours after the meetings.
4. The RO will be responsible for the master list of ALAE members. Format of master list to be determined at a later date.
5. The RO will be responsible for recording all policies and procedures, in an orderly fashion, in a policy and procedure manual. (Bylaws)
6. The RO will be responsible for notifying any or all ALAE members of any changes in policies or procedures.
7. The RO will initiate all reports.
8. The RO will be responsible to send out notifications two weeks prior to the bi-annual meeting.
9. The RO will have one vote on the Board.

FINANCIAL OFFICER:

1. The Financial Officer (FO) will report to the EO.
2. The FO will assume the EOs responsibilities in case of absence.
3. The FO will collect all application fees and record them. The fees will then be turned over to the Chairman.
4. The FO will be responsible for keeping detailed records of every financial transaction concerning the business of ALAE.
5. The FO will have one vote on the Board of Directors.

QUALITY CONTROL OFFICER:

1. The Quality Control Officer (QC) will report to the EO.
2. The QC will be responsible for the final approval on all created areas prior to the areas being released.
3. The QC will maintain the quality control procedures.
4. The QC will be fully trained in the quality control procedures.
5. The QC will train all ALAE members in the ALAE quality control procedures, taking them thru the procedures step by step.
6. The QC will have one vote on the Board of Directors.

ARTICLE 3: BOOKS AND RECORDS

1. The Association shall keep correct and complete books and records of accounts and shall keep minutes of all proceedings.
2. Copies of the above mentioned books and records shall be maintained by the appropriate Director (as noted in the Directors duties) and shall furnish the Chairman with a copy within 24 hours of any change to such books and records.
3. Format of the above mentioned books and records shall be determined at a later date.
4. All information contained in the Association books and records shall be proprietary and divulged to the Board only.
5. If any Director divulges proprietary information to any person not on the Board will be subject to immediate dismissal.
